Position Title: Commercial Contract Specialist

We’re currently looking for Commercial contract specialist – part of the Commercial Management team, which provides commercial management services to the UK B2B business in order to assist in profitably reaching its financial targets with an acceptable level of commercial and contractual risk.
The Commercial Management team is responsible for supporting the business from a contractual perspective by supporting, and where required leading, the negotiation and conclusion of commercial contracts with our customers. The team is supported by the Legal, Compliance, Strategic Pricing and Finance teams to ensure that the wider commercial considerations are taken into account when structuring, negotiating and concluding deals.
The wider Commercial team is also responsible for ensuring that appropriate, effective commercial frameworks, processes and policies are in place to ensure that all necessary deal governance steps are followed so that all the business Experian contracts is commercially acceptable, risks are understood and mitigated, appropriate compliance and regulatory standards are met and the deal overall is in the interests of the company and in line with internal policies and procedures.

In summary, all sales deals must meet the following criteria:
Revenue and profitability are maximised
Deals are assessed and signed off in accordance with UK Deal Governance requirements
Services provided are compliant with regulatory requirements and Experian controls
Deals are appropriately contracted in accordance with Experian’s standards

Responsibilities:
Ensure that each commercial sales transaction is contracted on terms which conform to Experian’s global contract policy, maximises potential revenue, and business benefit whilst minimizing risk.
Work closely with Sales and Consultancy to understand the client requirements and ensure these are appropriately reflected within the contracts.
Draft and construct contracts, contract schedules and variation agreements in line with deal requirements and business contractual needs.
Ensure contracts are unambiguous to enable clear fulfilment of all obligations including payment obligations.
Consult on and draft different contract templates as requested.
Provide commercial guidance and education to the rest of the business on our contractual processes.
Where required, escalate for approval any proposed variations from Experian’s global contracting policy
Respond to Non-Disclosure Agreement (NDA)/Data Processing Agreement queries including reviewing customer NDAs and DPAs, liaising with Legal Team for escalations, drafting of new provisions for these agreements, amending our standard NDA/DPA agreements in corporation with legal where needed.
Review interim commercial cover and work at risk requests where required
Share knowledge, develop & grow commercial and contractual expertise across the relevant business units and verticals
Promote compliance with commercial processes and seek improvement opportunities for all commercial management processes
Ensure correct maintenance of contractual records and documentation - contract correspondence, contract information sheets, contractual changes, status reports and other documents for all projects.
Attend Commercial Team meetings; meetings with external parties; and other teams where necessary.
Perform other appropriate tasks as required by the Commercial Contracts Manager and/or Senior Commercial Manager

Requirements:
Commercial/contract management role of 1+ years;
An academic record and work experience that demonstrates an ability to learn, understands concepts, interpret information and act in a logical and methodical manner;
Legal degree qualification, or sufficient experience in commercial environment;
Operational understanding of legal terms and conditions. Experience of working with legal colleagues;
Fluency in written and spoken English;
Good level of understanding of commercial contract terms; ability to read and understand contracts, ability to explain and negotiate specific terms, ability to draft terms accordingly.
Good stakeholder management; proactively develop relationships by listening to and understanding both internal parties and clients
Confident and adaptable team player
Ability to handle multiple demands and prioritize workload; Good planning, organisational & time management skills.
Change orientated. Accepts new ideas and responds positively to changing circumstances.
Very good attention to detail
Proactive approach to all tasks
Self-driven, proactively looks for continuous improvement in processes and self.
Microsoft Office including Word and Excel ability – Advanced level.
